Terms of Service

These Terms of Service ("Terms") constitute a legally binding agreement between you ("User", "you") and FoundrGeeks ("FoundrGeeks", "we", "us", or "our"), governing your access to and use of the FoundrGeeks platform, website, and related services (collectively, the "Platform").

By registering, accessing, or using the Platform, you represent that you have read these Terms in full, have the legal capacity to enter into a binding agreement, and agree to comply with them. Where you are accessing the Platform on behalf of an organisation, you represent that you have authority to bind that organisation to these Terms.

To use FoundrGeeks, you must:

• Be at least 18 years of age, or the age of majority in your jurisdiction if higher
• Not have had an account previously terminated for a violation of these Terms
• Not be subject to any legal prohibition on using online services of this nature

FoundrGeeks does not knowingly collect data from persons under 18. If we discover that a user is under 18, we will promptly delete their account and associated data.

When you register, you agree to provide accurate, current, and complete information. You are responsible for:

• Keeping your login credentials confidential and not sharing them with any third party
• All activity that occurs under your account, whether or not authorised by you
• Updating your information promptly if it changes
• Notifying us immediately at contact@foundrgeeks.com if you suspect unauthorised access

You may not create multiple accounts, use another person's account, or use automated scripts to create accounts. FoundrGeeks reserves the right to verify your identity and to refuse or cancel accounts at our discretion.

You agree not to use the Platform to:

• Post false, misleading, defamatory, or fraudulent content
• Impersonate any person, entity, or organisation
• Harass, threaten, bully, or abuse other users
• Upload or transmit malware, viruses, or any code designed to disrupt the Platform
• Scrape, crawl, or extract data from the Platform without our express written consent
• Use the Platform to send unsolicited messages (spam) or engage in multi-level marketing
• Circumvent, disable, or otherwise interfere with security-related features of the Platform
• Use the Platform for any unlawful purpose or in violation of any applicable law or regulation
• Reproduce, resell, or commercially exploit any portion of the Platform without our consent

Your content: You retain all ownership rights in the content you create and post on FoundrGeeks ("User Content"), including projects, discussion posts, and profile information.

Licence to FoundrGeeks: By posting User Content, you grant FoundrGeeks a worldwide, non-exclusive, royalty-free, sublicensable licence to host, store, display, reproduce, and distribute that content solely for the purpose of operating and improving the Platform. This licence terminates when you delete your content or your account, subject to any backup and caching periods.

Your responsibility: You represent and warrant that (a) you own or have the necessary rights to the User Content you post, and (b) the content does not infringe any intellectual property rights, privacy rights, or other rights of any third party.

Removal: We reserve the right to remove any User Content that violates these Terms or that we deem, in our sole discretion, to be harmful to the community — without prior notice.

The FoundrGeeks name, logo, design, software, features, and all proprietary content on the Platform are the exclusive property of FoundrGeeks and are protected by copyright, trademark, and other applicable intellectual property laws.

Nothing in these Terms grants you a licence to copy, modify, distribute, sell, or create derivative works of any FoundrGeeks intellectual property without our express written permission. Any feedback, suggestions, or ideas you provide to us may be used by us freely without compensation or attribution to you.

FoundrGeeks is a discovery and connection platform. We facilitate introductions between users but are not a party to any agreement, partnership, employment contract, or other arrangement entered into between users.

• Any collaboration, co-founding arrangement, investment, or business agreement is solely between the users involved
• FoundrGeeks does not verify the identity, qualifications, intentions, or credibility of any user
• We make no guarantees about the suitability of any match, project, or collaborator
• You are solely responsible for conducting your own due diligence before entering into any arrangement with another user

Your use of the Platform is subject to our Privacy Policy, which is incorporated into these Terms by reference. By using FoundrGeeks, you consent to the collection, use, and processing of your data as described in the Privacy Policy.

We strive to keep FoundrGeeks available 24/7, but we do not guarantee uninterrupted access. We may suspend, modify, or discontinue any part of the Platform at any time — for maintenance, upgrades, legal compliance, or any other reason — with or without notice. We will not be liable for any downtime or service interruption.

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, FOUNDRGEEKS AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, INCLUDING LOSS OF PROFITS, REVENUE, DATA, GOODWILL, OR BUSINESS OPPORTUNITIES, ARISING FROM:

• Your use of or inability to use the Platform
• Any User Content posted on the Platform
• Any conduct or content of any third party on the Platform
• Unauthorised access to or alteration of your transmissions or data
• Any other matter relating to the Platform

IN ANY EVENT, OUR AGGREGATE LIABILITY TO YOU FOR ALL CLAIMS RELATING TO THE PLATFORM SHALL NOT EXCEED THE AMOUNT YOU PAID TO US (IF ANY) IN THE 12 MONTHS PRECEDING THE CLAIM.

Some jurisdictions do not allow the exclusion of certain warranties or limitation of liability, so the above limitations may not apply to you in full.

You agree to defend, indemnify, and hold harmless FoundrGeeks and its officers, directors, employees, contractors, and agents from and against any claims, liabilities, damages, judgements, awards, losses, costs, and expenses (including reasonable legal fees) arising out of or relating to:

• Your use of the Platform
• Your User Content
• Your violation of these Terms
• Your violation of any applicable law or regulation
• Your violation of the rights of any third party

By you: You may close your account at any time by contacting us at contact@foundrgeeks.com. Upon closure, we will delete your personal data within 30 days, subject to our retention obligations.

By us: We reserve the right to suspend or permanently terminate your account, with or without notice, for any of the following reasons:

• Violation of these Terms
• Fraudulent, abusive, or illegal activity
• Conduct that harms other users or the integrity of the Platform
• Extended inactivity (greater than 24 months)
• Any other reason at our sole discretion

Upon termination by us for cause, you forfeit any right to access or recover your User Content. Sections 5, 6, 7, 10, 11, 12, and 14 of these Terms survive termination.

Governing law: These Terms shall be governed by and construed in accordance with the laws of the Federal Republic of Nigeria, without regard to its conflict of law provisions.

Resolution process:

• Step 1 — Contact us: Before initiating formal proceedings, you agree to contact us at contact@foundrgeeks.com and allow 30 days for us to attempt an amicable resolution.
• Step 2 — Mediation: If direct resolution fails, the parties agree to attempt mediation through a mutually agreed mediator.
• Step 3 — Litigation: If mediation fails, disputes shall be submitted to the exclusive jurisdiction of the courts in Lagos, Nigeria.

Class action waiver: You agree to resolve disputes with FoundrGeeks on an individual basis only. You waive any right to participate in class action lawsuits or class-wide arbitration.

We may update these Terms from time to time to reflect changes in our services, business practices, or applicable law. When we make material changes, we will:

• Update the "Effective" date at the top of this page
• Display an in-app notice for at least 14 days
• Send an email notification to registered users where required by applicable law

Your continued use of the Platform after the revised Terms become effective constitutes your acceptance of the changes. If you do not agree to the revised Terms, you must stop using the Platform and close your account.

• Entire agreement: These Terms, together with our Privacy Policy, constitute the entire agreement between you and FoundrGeeks with respect to the Platform.
• Severability: If any provision of these Terms is held invalid or unenforceable, the remaining provisions shall remain in full force and effect.
• No waiver: Our failure to enforce any right or provision of these Terms shall not constitute a waiver of that right or provision.
• Assignment: You may not assign your rights under these Terms without our prior written consent. We may freely assign our rights.
• Force majeure: We shall not be liable for any failure to perform our obligations resulting from causes beyond our reasonable control, including but not limited to internet outages, natural disasters, or government actions.
